1. Parties
These Terms of Sale (the "Terms") govern your purchase and use of the services provided by Translatorus LLC (the "Company", "we", "us"), operating under the trade name Metaphras.ai:

"You" or "Customer" means any individual or entity that purchases credits or otherwise uses the service.
2. The Service
Metaphras.ai is a software-as-a-service tool that allows you to upload documents and translate them using AI, edit translations sentence by sentence, and export the result in PDF, DOCX or bilingual XLSX format.
Use of the service requires an account, which you create by signing up on the website.
3. Credits
The service operates on a prepaid credit system. 1 credit equals 1 translated word. The cost of translating any given page is the number of source words in that page. We display the cost in your workspace before each translation and ask you to confirm.
Credits are sold both as one-time packs and through monthly subscriptions, at the prices listed on the Pricing page. Prices are quoted in US dollars (USD) and shown in euros (EUR) where applicable. Taxes (sales tax, VAT, GST) where applicable are added at checkout based on your billing location and remitted by us or our payment processor as required.
Credits are personal to your account and cannot be transferred to another user. They have no monetary value outside the platform and cannot be redeemed for cash.
Pack credits (purchased as one-time packs) do not expire. Subscription credits are allocated each month and renew automatically; unused subscription credits roll over up to a maximum of twice the monthly allowance, beyond which they do not accumulate further.
4. Subscriptions
Monthly subscriptions renew automatically each month until canceled. By subscribing, you authorize recurring charges to your payment method at the then-current price for your plan, until you cancel. You can cancel at any time from your account; cancellation stops future charges and takes effect at the end of the current billing period. Remaining subscription credits stay usable until consumed but are not refunded upon cancellation. We will notify you in advance of any change to subscription pricing.
5. Payment
Payment is processed by Stripe, Inc. By purchasing credits, you authorize Stripe to charge the payment method you provide. We do not store your full payment card details on our systems.
Credits are added to your account immediately upon successful payment.
6. Free credits
Each new account receives a one-time welcome bonus of free credits. Free credits are subject to the same usage rules as purchased credits but cannot be refunded.
7. Refund policy
You may request a refund of unused credits within 14 days of the purchase date by contacting hello@metaphras.ai. Used credits — credits that have been consumed in a translation — are non-refundable.
If the service was materially defective at the time of your purchase (e.g. extended downtime, inability to deliver a translation), contact us and we will provide a refund or credit at our discretion.
EU consumers benefit from the statutory 14-day right of withdrawal under Directive 2011/83/EU for unused credits. By starting a translation that consumes credits, you expressly waive the right of withdrawal for those credits, in line with Article 16(m) of the directive.
8. Acceptable use
You agree not to use the service:
- To translate content you do not have the legal right to translate or process.
- To translate content that is illegal, infringing, defamatory, or that depicts child sexual abuse material.
- To attempt to reverse-engineer, scrape, or otherwise abuse our infrastructure.
- To resell the service as your own without prior written agreement.
We may suspend or terminate your account for material breach of this clause.
9. Ownership
You retain all intellectual property rights in the documents you upload and the translations produced. You grant us a non-exclusive, limited license to process your content solely for the purpose of providing the service to you.
We retain all rights in the platform itself, including software, branding, and accumulated improvements that are not derived from your specific content.
10. Service availability
We aim for high availability but do not guarantee uninterrupted access. The service is provided "as is" and "as available". We are not liable for downtime caused by third-party providers (Stripe, Google Cloud, Supabase, Hostinger) or events beyond our reasonable control.
11. Translation quality
Translations are produced by AI models. While we strive to provide high-quality output, you acknowledge that:
- AI translations may contain errors, omissions, or imprecisions.
- You are responsible for reviewing and editing the output before relying on it for any consequential use (legal, medical, contractual, etc.).
- We do not certify translations as official, sworn or legally binding. For certified translations, consult a licensed human translator.
12. Limitation of liability
To the maximum extent permitted by applicable law, our aggregate liability arising out of or related to your use of the service shall not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim.
We shall not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, loss of data, or loss of business opportunity, even if advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable consumer protection law.
13. Account termination
You may close your account at any time by emailing hello@metaphras.ai. We will delete your data within 60 days of receipt, subject to legal retention obligations. Closing your account does not entitle you to a refund of used credits.
We may terminate or suspend your account immediately, without notice, for material breach of these Terms or applicable law.
14. Changes to the service or these Terms
We may modify the service (features, pricing for new purchases, technical infrastructure). Existing credits will continue to be honored at the rate of 1 credit = 1 word, regardless of pricing changes.
We may amend these Terms by giving you reasonable notice via email or via a notice on the site. If you do not accept the amended Terms, you must stop using the service. Continued use after the effective date constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. The exclusive jurisdiction for any dispute is the state and federal courts located in Natrona County, Wyoming.
If you are a consumer resident in the European Union, you also benefit from the mandatory consumer protection provisions of your country of residence, and you may bring a claim before the courts of your domicile.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
